1.1  By accessing or using this website (located at www.emdclubdubai.com), any related websites, URLs or social media platforms owned or operated by us (the "Sites"), and by using our Services, you agree to be legally bound by these Terms and Conditions ("Terms").

 

1.2  By agreeing to these Terms, you are entering into a binding legal agreement with EMD Loyalty Card Services L.L.C, a limited liability company registered in the Emirate of Dubai, United Arab Emirates, with Trade License No. 1465464 issued by the Department of Economic Development, Dubai ("EMD" or "we" or "us").

 

1.3  By accessing or using our Services, you warrant and represent to us that:

•       you have read, understand and agree to be bound by these Terms;

•       you are over the age of 21 years (the legal age of majority in the United Arab Emirates);

•       you have the right, authority and legal capacity to enter into a legally binding agreement and to abide by these Terms; and

•       your use of the Services does not violate any applicable laws or regulations of the United Arab Emirates or the Emirate of Dubai.

 

1.4  All terms, conditions and policies linked to or referenced within the Sites, including our Privacy Policy and our Membership Terms, are incorporated into these Terms. You agree to comply with all such terms when accessing or using our Services.

 

General Use

2.1  You agree that you are responsible for your access to our Services and for ensuring that any persons who may access the Services through your account or internet connection are aware of and compliant with these Terms.

 

2.2  You warrant and represent to us that your use of the Services will comply with all applicable laws and regulations of the United Arab Emirates, the Emirate of Dubai, and any jurisdiction from which you access the Services. You will not use our Services for any activities that are unlawful, discriminatory, harmful to others, or that may violate the rights of others.

 

2.3  We reserve the right to add, change, modify, suspend or discontinue at any time any portion of the Services or access to the Sites, in our sole discretion, without notice to you.

 

Personal Details and Marketing

2.4  When you provide your details to us, you warrant and represent that the details are accurate and that you are the account holder or authorised nominee of the contact number you provide.

 

2.5  You consent in advance to be contacted during our usual business hours (including in relation to customer service matters, order confirmation, product offers and promotional purposes) via the contact details you provide, in accordance with our Privacy Policy and in compliance with applicable UAE data protection regulations.

 

 

Your Conduct

2.6  You agree that you will not:

•       engage in unlawful, obscene, harassing, intimidating, threatening, predatory or stalking conduct;

•       disclose or share your password or login information with any third party;

•       use the Services in a manner that may damage, disrupt, impair or interfere with the reliability and performance of the Services;

•       copy or impersonate any other person or entity, or misrepresent your identity, age or affiliation;

•       use the Services to promote or solicit involvement in any political platform, religion, cult or sect;

•       post any person's personal information or images without express written permission;

•       solicit or engage in any illegal or unlawful activity, including any activity prohibited under UAE law;

•       use the Services to redirect users to other websites;

•       defraud, scam, hack, swindle or deceive other users;

•       harvest or collect email addresses or other contact information of other users;

•       circumvent, disable or otherwise interfere with security-related features of the Services;

•       use automated technology including bots, scrapers or data mining tools to access the Services;

•       embed, frame or imitate any part of the Services on another platform without our prior written consent;

•       resell, rent or make any commercial use of the Services without our prior written consent;

•       attempt to gain unauthorised access to our Services or any connected server, computer or database; or

•       use the Services other than for their intended purpose.

 

User Accounts

2.7  To access and use the Services, you may be required to register for a user account.

 

2.8  You agree that you are solely responsible for maintaining the confidentiality of your account details, including your password. Your personal information will be handled in accordance with our Privacy Policy and applicable UAE data protection laws.

 

2.9  We retain the right to screen and verify your identity and eligibility to use the Services in our sole discretion. You agree to provide complete, accurate and current information confirming your identity upon request, including copies of identification documents as required under UAE law.

 

2.10  We may, in our absolute discretion, investigate, take legal action, terminate or cancel your access to the Services, your account, Subscription or Membership at any time and for any reason without notice, including if you have violated or are suspected of violating these Terms.

 

3.1  Any prize draws, competitions or promotional giveaways conducted through the Services are subject to separate Competition Terms and Conditions, which are incorporated into these Terms by reference.

 

3.2  All prize draws and competitions are conducted in accordance with applicable UAE laws and regulations governing trade promotions and competitions, including any requirements of the Department of Economic Development, Dubai.

 

3.3  Prizes are awarded as described in the applicable Competition Terms and Conditions. EMD reserves the right to substitute a prize of equal or greater value at its absolute discretion.

 

3.4  By participating in any prize draw or competition, you acknowledge and agree that:

•       participation is subject to the specific Competition Terms and Conditions published for each draw;

•       the decision of EMD in relation to all matters concerning the competition is final and binding;

•       EMD may use your name, image and likeness for promotional purposes without further compensation; and

•       any prize winnings may be subject to applicable UAE tax obligations, and it is your sole responsibility to comply with such obligations.

 

NOTE FOR BARRY: UAE law requires a permit from the Department of Economic Development for prize draws and competitions. Please confirm whether the required DED permit has been obtained for each draw, and whether the Competition T&Cs comply with UAE trade promotion regulations. Please also confirm UAE tax treatment of prizes.

4.1  Membership to EMD Club Dubai is subject to separate Membership Terms and Conditions, which are incorporated into these Terms by reference.

 

4.2  Membership fees, where applicable, are denominated in UAE Dirhams (AED) and are inclusive of 5% Value Added Tax (VAT) as required under UAE Federal Law No. 8 of 2017 on Value Added Tax and its implementing regulations.

 

4.3  All payments are processed through our approved payment gateway providers. EMD does not store credit card or payment instrument details on its servers.

 

4.4  Membership benefits, access levels and pricing are as described on the Sites and are subject to change at our discretion with reasonable notice to members.

 

 

5.1  Our Services may provide you with the opportunity to submit content, including text, images and other material ("User Content"). You agree that you are solely responsible for any User Content you submit.

 

5.2  By submitting User Content, you grant EMD a non-exclusive, royalty-free, perpetual, irrevocable, worldwide licence to use, reproduce, modify, adapt, publish, translate, distribute and display such content in any form, for the purpose of operating and promoting our Services.

 

5.3  By submitting User Content you warrant and represent that:

•       you hold all intellectual property rights to the User Content and have the authority to grant the licence described above;

•       the User Content does not infringe any third-party rights including intellectual property, privacy or moral rights;

•       the User Content is accurate, complete, not false and not misleading;

•       the User Content does not contain obscene, pornographic, threatening, defamatory, abusive, offensive, hateful, violent or illegal content; and

•       the User Content does not violate any applicable laws or regulations of the United Arab Emirates.

 

5.4  We retain the right, at any time and without notice, to review, reject, delete or edit User Content. We are not obliged to monitor User Content but reserve the right to do so.

6.1  We own, control or licence all materials contained on or in our Services, including text, images, graphics, logos, designs, illustrations, audio, videos, music, user interfaces, photographs, trade marks, coding and artwork ("EMD IP").

 

6.2  EMD IP is protected by applicable UAE intellectual property laws, including Federal Law No. 37 of 1992 on Trade Marks and Federal Law No. 7 of 2002 on Copyright and Neighbouring Rights (as amended), as well as international intellectual property conventions to which the UAE is a party.

 

6.3  You may not copy, modify, publish, adapt, sub-licence, translate, sell, distribute, transmit, reverse engineer or otherwise use any part of EMD IP without our prior written consent.

 

6.4  You may access and use the information provided in our Services on a limited, revocable, non-sub-licensable licence for your personal, non-commercial purposes only.

7.1  We are committed to protecting your personal information in accordance with UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection (PDPL) and any applicable regulations issued thereunder.

 

7.2  By using our Services, you consent to the collection, processing and use of your personal information as described in our Privacy Policy.

 

7.3  You consent in advance to be contacted during our usual business hours, including in relation to customer service matters, order confirmation, product offers and promotional purposes, via the contact details you provide to us.

 

7.4  You have the right to access, correct or request deletion of your personal information held by us, subject to applicable UAE law. To exercise these rights, please contact us at the details provided at the end of these Terms.

 

 

8.1  EMD may operate an SMS and mobile messaging service (the "Mobile Service") to provide members with updates, alerts, promotions and marketing communications.

 

8.2  By providing your mobile number and consenting to receive SMS messages, you agree to receive recurring SMS and text messages from or on behalf of EMD through your UAE wireless provider (Du or Etisalat/e&) to the mobile number you provided.

 

8.3  You do not have to sign up for the Mobile Service to make any purchase, and your consent to receive SMS messages is not a condition of any purchase with EMD.

 

8.4  We do not charge for the Mobile Service, but you are responsible for all charges and fees associated with text messaging imposed by your wireless provider. Message and data rates may apply.

 

8.5  You may opt out of the Mobile Service at any time by texting STOP to the number or short code provided, or by contacting us directly. You will receive a one-time opt-out confirmation message.

 

8.6  All mobile communications are conducted in compliance with the UAE Telecommunications Regulatory Authority (TRA) regulations and applicable UAE laws governing electronic communications.

 

9.1  Our Services may contain links to or from websites owned or operated by third parties. Any third-party services, content, information and products displayed on our Sites are provided solely for the benefit of our members and we make no representations or warranties regarding any third-party products or services.

 

9.2  Links to third-party websites do not constitute sponsorship, approval or endorsement unless expressly stated by us in writing.

 

9.3  Third-party websites are governed by their own terms and conditions and privacy policies. We do not accept any liability for any information on, or the privacy practices of, any third-party websites.

10.1  To the maximum extent permitted by applicable UAE law, neither EMD nor any of its employees, agents, managers or directors will be liable for any loss, damage or injury (including indirect, special or consequential loss or damage such as loss of profits, revenue, goodwill, opportunity or data), whether in contract, tort or otherwise, arising from or in connection with:

•       any act, omission or negligence in the use of, or reliance on, information obtained through our Services;

•       any use of the information on or access to our Services;

•       any errors in or omissions from the information contained in the Services;

•       any Services supplied by us; or

•       these Terms or any breach of these Terms.

 

10.2  Nothing in these Terms purports to exclude any rights or remedies in respect of goods or services under applicable UAE consumer protection laws which cannot be excluded, restricted or modified.

 

10.3  You understand and agree that you are responsible for your own acts, omissions and negligence in your use of the Services.

 

11.1  We provide the Sites and their contents on an "as is" basis and use of this information is at your own risk. While we aim to update the Sites regularly, EMD makes no representation or warranty as to the accuracy, completeness, currency or reliability of the information contained on the Sites.

 

11.2  We reserve the right to restrict access to the Services or any part of the Services, change or withdraw any products, information or content featured in the Services, without notice.

12.1  You agree to release, indemnify and hold EMD and its affiliates, agents, managers, directors and employees harmless from and against any claims, demands, proceedings, losses and damages of every kind and nature arising from or in relation to:

•       your purchase or use of services provided by us;

•       your use or access of the Services;

•       any access to the Services by a third party arising out of your breach of these Terms; or

•       your violation of any UAE law or the rights of any third party.

13.1  Without prejudice to any other remedies, we may, in our absolute discretion, at any time and without notice to you:

•       terminate these Terms; and/or

•       terminate the Services or your access to the Services.

 

13.2  To the maximum extent permitted by UAE law, we will not be liable to you for any loss or damage arising from our exercise of rights under this clause.

14.1  We reserve the right to amend these Terms from time to time as we see fit. Any amendments are effective from the date on which the amended Terms are published on the Sites.

 

14.2  It is your responsibility to keep up to date with any changes to these Terms by checking this page regularly. Continued use of the Services after any amendment constitutes your acceptance of the revised Terms.

 

14.3  We reserve the right to amend any errors in the Services, including any pricing errors, at any time without notice.

15.1 Waiver

Any failure or delay by us in exercising a power or right under these Terms does not operate as a waiver of that power or right.

 

15.2 Force Majeure

If we are unable to perform any obligation under these Terms as a result of any fact, circumstance or matter beyond our reasonable control, we are relieved of that obligation to the extent and for the period that we are unable to perform. This includes but is not limited to acts of God, war, civil unrest, government action, pandemic, epidemic, natural disaster, fire, flood or failure of third-party systems.

 

15.3 Severability

If any part of these Terms is determined by a competent court to be invalid or unenforceable, that part shall be severed from the Terms and such invalidity does not affect the validity of the remaining provisions.

 

15.4 Relationship

These Terms do not confer an agency, partnership, joint venture, employer-employee or franchisor-franchisee relationship between us and you or any other party unless expressly stated otherwise.

 

15.5 Entire Agreement

These Terms, together with all other terms, conditions and policies incorporated by reference, make up the entire agreement between you and EMD and supersede all prior written and oral agreements, representations and understandings.

 

15.6 Language

These Terms are provided in both English and Arabic. In the event of any conflict or inconsistency between the English and Arabic versions, the Arabic version shall prevail in accordance with applicable UAE law.

 

 

16.1  These Terms are governed by and construed in accordance with the laws of the Emirate of Dubai and the federal laws of the United Arab Emirates.

 

16.2  You irrevocably and unconditionally submit to the exclusive jurisdiction of the courts of the Emirate of Dubai in respect of any dispute or claim arising out of or in connection with these Terms or your use of the Services.

 

16.3  Although the Services may be accessed from outside the UAE, we make no representation that the content or Services comply with the laws of any country outside the UAE. If you access the Services from outside the UAE, you do so at your own risk and are responsible for ensuring compliance with all applicable local laws.
